1. Agreement to Terms

By accessing our website or applying to the NiTokyo Live Commerce program, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Program Description

NiTokyo facilitates live commerce opportunities for international influencers in Tokyo, Japan. We connect influencers with luxury resale boutiques, provide professional facilities, and assist with logistics. Influencers purchase inventory at wholesale prices and sell to their audiences at prices they determine.

3. Eligibility

To participate in our program, you must:

Be at least 18 years of age
Have an active social media presence with engaged followers
Be legally able to travel to Japan
Comply with all applicable laws and regulations
Submit accurate information in your application

4. Application Process

Submitting an application does not guarantee acceptance into the program. We review all applications and select participants based on audience fit, engagement rates, content quality, and program availability. We reserve the right to accept or reject any application at our sole discretion.

5. Financial Terms

There is no participation fee to join the program
Influencers are responsible for their own travel and accommodation costs
Inventory is purchased at wholesale prices set by our partner boutiques
Influencers set their own retail prices and collect payment from customers
A commission fee applies to each sale, as disclosed during onboarding
Settlement occurs after each session according to agreed terms

6. Inventory & Authentication

All luxury items available through our program are professionally authenticated. We work with reputable boutiques that adhere to Japan's strict standards for luxury resale. However, influencers are encouraged to perform their own due diligence before purchasing inventory.

7. Shipping & Fulfillment

We provide shipping logistics support for items sold during live commerce sessions. Shipping costs and customs duties are the responsibility of the buyer (your customer) unless otherwise agreed. We are not responsible for delays or issues caused by customs, carriers, or circumstances beyond our control.

8. Content & Conduct

Participants agree to:

Represent products accurately and honestly to their audience
Comply with all applicable advertising and disclosure regulations
Refrain from making false or misleading claims
Treat staff, partners, and other participants with respect
Follow facility rules and guidelines during their visit

9. Intellectual Property

Content created by influencers during the program remains their property. By participating, you grant NiTokyo a non-exclusive license to use photos and videos from your sessions for promotional purposes, with appropriate credit.

10. Limitation of Liability

NiTokyo acts as a facilitator and is not responsible for transactions between influencers and their customers. We are not liable for any indirect, incidental, or consequential damages arising from participation in the program.

11. Termination

We reserve the right to terminate or suspend access to our program at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other participants, partners, or our business.

12. Changes to Terms

We may modify these Terms at any time. Continued participation in the program after changes constitutes acceptance of the modified terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved in the courts of Tokyo, Japan.
